Terms and Conditions

1. Application and Entire Agreement
1.1 These Terms and Conditions apply to the provision of Website Design, Hosting, and Email Services (“Services”) by Narked Limited (also trading as Duchy Websites and Parish Web & Host), a company registered in England and Wales (Company No. 03934992), whose registered office is 11 Little Balmer, Buckingham, MK18 1TF (“we”, “us” or “Service Provider”), to the person or entity purchasing the services (“you” or “Customer”).
1.2 By accepting our quotation, placing an order, or by commencing use of our Services, you agree to be bound by these Terms and Conditions (the “Agreement”).
1.3 These Terms and Conditions and any quotation provided constitute the entire agreement between you and us.
2. Interpretation
2.1 “Business Day” means a day other than a Saturday, Sunday or public holiday in England and Wales.
2.2 The headings in these Terms and Conditions are for convenience only and do not affect their interpretation.
3. Services
3.1 We will use reasonable care and skill in delivering the Services in accordance with the quotation.
3.2 We reserve the right to make changes to the Services required to comply with applicable law or safety requirements.
3.3 We will use reasonable efforts to meet agreed deadlines but time is not of the essence in our performance.
4. Your Obligations
4.1 You must provide all permissions, information, and materials we reasonably require to deliver the Services.
4.2 Failure to comply may result in delay, additional costs, or termination of Services.
5. Fees, Deposits, and Payment
5.1 A 50% non-refundable deposit is required before commencing new website projects. Larger projects may require staged payments as agreed in writing.
5.2 You are not committed until the deposit is paid.
5.3 Hosting and SSL services are billed annually in advance.
5.4 SSL certificates require one month’s written notice for termination. Activation requires customer email verification. We are not liable for disruptions due to non-verification.
5.5 Invoices must be paid within 15 days, unless agreed otherwise.
5.6 Late payments may result in suspension of services.
5.7 All fees are payable in GBP and exclusive of VAT unless stated otherwise.
6. Amendments and Cancellation
6.1 Quotations remain valid for 15 days unless withdrawn earlier.
6.2 Either party may cancel an order before payment of deposit.
6.3 Amendments to Services must be submitted in writing. Additional costs may apply.
6.4 We may modify Services due to unforeseen circumstances beyond our control with prompt notice.
7. Termination
7.1 You may terminate your Hosting or SSL service by providing one month’s written notice to support@parishwebandhost.co.uk Confirmation of receipt will be sent within 24 hours.
7.2 Domain name agreements require six weeks’ written notice.
7.3 Termination may impact licensed software. Such software remains our property and must not be used post-termination without a new license.
7.4 We may terminate Services immediately if: a) You breach these Terms materially; b) You fail to pay fees when due; c) You become insolvent or bankrupt, or are subject to insolvency proceedings.
7.5 Upon confirmed termination following one month’s written notice from the Customer, and on the agreed termination date, all data held by us will be permanently deleted unless otherwise agreed in writing.
8. Offboarding
8.1 Upon written request to terminate a contract, we will retain the website and its associated data for a period of up to three (3) months from the date of receipt of the termination notice.
8.2 During this period, the Customer may request the transfer of website files and data. Such requests must be submitted in writing.
8.3 After the 3-month period, all data may be permanently deleted from our systems unless otherwise agreed in writing.
9. Intellectual Property
9.1 We retain all intellectual property rights in materials we create unless otherwise stated.
9.2 Upon full payment, website ownership transfers to you except: a) Licensed WordPress themes are valid only for the duration of our hosting agreement; b) Third-party plugin or theme licences are non-transferable.
10. Liability
10.1 Our total liability is limited to the fees paid under this Agreement.
10.2 We are not liable for: a) Indirect, special, or consequential losses; b) Loss of profit, business, data, or reputation; c) Delays caused by your actions or force majeure.
11. Data Protection
11.1 We process personal data in accordance with our Privacy Policy and the UK GDPR.
11.2 You remain the Data Controller; we are the Data Processor.
11.3 We will only process data to provide the Services and will maintain appropriate security.

12. Force Majeure
12.1 Neither party is liable for failure to perform due to events beyond their control. If such delay continues for more than 90 days, either party may cancel the Services.
13. Notices
13.1 Notices must be in writing and delivered: a) By courier or registered post during business hours; b) By email, confirmed by a reply from authorised personnel.
14. Content Restrictions
14.1 You must not upload, post, or otherwise transmit any content that: a) Is illegal, offensive, obscene, defamatory, or promotes violence or discrimination; b) Infringes intellectual property rights or any other rights of third parties; c) Contains viruses or malicious code; d) Violates any applicable laws or regulations.
14.2 We reserve the right to remove any such content without notice and may suspend or terminate your Services immediately in case of breach.
14.3 We will cooperate fully with law enforcement authorities if any content or use of Services is suspected to breach the law.
15. Backups
15.1 We provide website rollback backups for a period of sixty (60) days and email backups for thirty (30) days.
15.2 Restoration of backups must be requested in writing by the Customer.
16. Support and Maintenance
16.1 Our websites are self-updating. If any updates fail to complete correctly, you must notify our support team to investigate and resolve the issue.
16.2 Support is available via phone and email during normal business hours, 9:00am to 5:00pm, Monday to Friday. We aim to resolve any issues within 2 days. or 24whrs.
16.3 Our hosting package includes free training on the use of the website, specifically covering the addition of meeting minutes, agendas, documents, news articles, and event posts.
16.4 Additional training beyond the standard scope may be provided at our discretion and may incur extra charges.
17. Miscellaneous
17.1 No waiver of any right shall be deemed unless in writing.
17.2 If any provision is found unlawful or unenforceable, it shall be severed without affecting the rest.
17.3 This Agreement is governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.
